5.1 Placing Orders

When you place an order through food-pizzana.rest, you are making an offer to purchase food products at the stated price. Pizzana reserves the right to accept or decline any order at our sole discretion. Order confirmation does not constitute acceptance; acceptance occurs when we begin preparation of your order or issue a formal order confirmation email, whichever occurs first.

All orders are subject to product availability. In the event that an item is unavailable after your order has been placed, we will contact you to offer a substitute or provide a full refund for the unavailable item.

5.2 Pricing

All prices listed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices displayed at the time of order submission are the prices that will apply to that order. Applicable taxes will be added to your order total as required by federal, state, and local law. Pizzana is not responsible for typographical errors in pricing; in the event of a pricing error, we reserve the right to cancel orders placed at the incorrect price and notify you accordingly.

5.3 Payment Methods

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once food preparation has commenced. Delivery availability, minimum order amounts, delivery fees, and estimated delivery times are subject to change and may vary based on your location, time of day, and operational capacity. Estimated delivery and preparation times are approximate and not guaranteed. Pizzana shall not be liable for delays caused by traffic, weather conditions, or other circumstances beyond our reasonable control.

For pickup orders, you are responsible for collecting your order within a reasonable time after the stated pickup time. Pizzana shall not be responsible for the quality of food items not collected in a timely manner.

7. Allergen and Nutritional Information

Pizzana takes allergen concerns seriously; however, our food is prepared in kitchens that may handle common allergens including, but not limited to, gluten, dairy, eggs, nuts, soy, and shellfish. We cannot guarantee that any menu item is completely free from allergens. Nutritional and allergen information provided on our Site is for general informational purposes only and may not be fully accurate due to variations in preparation, ingredient substitutions, or supplier changes.

8. Intellectual Property Rights

All content and materials available on the Site, including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, data compilations, menu designs, website layouts, software, and all other intellectual property (collectively, "Pizzana Content"), are the exclusive property of Pizzana or its content suppliers and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and related state laws.

The Pizzana name, logo, trade dress, and all related marks and trade names are trademarks or service marks of Pizzana. No license or right to use any trademark displayed on the Site is granted to you without our express prior written consent.

8.1 Limited License

Subject to your compliance with these Terms, Pizzana grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Pizzana Content solely for personal, non-commercial purposes related to ordering food and using our Services. This license does not include the right to:

  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE;
  • WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SITE OR SERVICES.

Pizzana does not warrant that the Site will meet your requirements or that defects will be corrected. Your use of the Site and Services is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties; in such cases, the above exclusions apply to the fullest extent permitted by law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIZZANA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, goodwill, or business opportunities;
  • Personal injury or property damage arising from your use of the Services;
  • Unauthorized access to or alteration of your data or transmissions;
  • Delays or interruptions to the Site or Services;
  • Any bugs, viruses, or other harmful code transmitted through the Site;

IN NO EVENT SHALL PIZZANA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZANA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth herein apply regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Pizzana has been advised of the possibility of such damages. Some states do not allow the exclusion or limitation of incidental or consequential damages; in such states, the above limitations apply to the fullest extent permitted by law.

Notwithstanding the above, nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be excluded or limited under applicable law, including the FTC Act (15 U.S.C. § 45) regarding unfair or deceptive acts or practices.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pizzana and its officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Site or Services in a manner not expressly authorized by these Terms;
  • Any User Content you submit, post, or transmit through the Site;
  • Your infringement or misappropriation of any intellectual property or other rights of any third party;
  • Your negligent or willful misconduct;

Pizzana reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with us in asserting any available defenses.

Your continued access to or use of the Site or Services after the effective date of any modification to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately discontinue your use of the Site and Services.

13. Term and Termination

All provisions of these Terms that by their nature should survive termination shall so survive, including but not limited to Sections 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 14 (Governing Law), 15 (Dispute Resolution), and 16 (Severability).

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Pizzana is registered and operates, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction.

To the extent that any claim or dispute is not subject to the arbitration provisions set forth in Section 15, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located within the United States and the applicable state of Pizzana's principal place of business for the resolution of any such claims or disputes. You waive any objection to the laying of venue of any such suit, action, or proceeding and waive any claim that such suit, action, or proceeding has been brought in an inconvenient forum.

Users accessing the Site from California acknowledge that their rights may also be governed by the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), the California Business and Professions Code, and other applicable California consumer protection statutes. Users from other states are subject to the consumer protection laws applicable in their respective state of residence, to the extent such laws apply.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Services by contacting Pizzana directly at [email protected]. We will attempt to respond and work toward an informal resolution within thirty (30) days of receiving your notice. This informal process is a condition precedent to filing any formal claim.

15.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be resolved by binding arbitration administered by a recognized arbitration organization such as the American Arbitration Association (AAA) or JAMS in accordance with their then-current Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitration shall take place in the United States, in the city or county of Pizzana's principal place of business, unless the parties agree otherwise or applicable law requires a different location. The costs of arbitration shall be borne as determined by the arbitrator in accordance with applicable arbitration rules.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PIZZANA. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

15.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Claims arising under applicable consumer protection statutes or small claims court jurisdiction may also proceed outside of arbitration where permitted by law.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, the provision shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms.

17. Entire Agreement and Waiver

These Terms, together with our Privacy Policy and any other legal notices or agreements published by Pizzana on the Site, constitute the entire agreement between you and Pizzana concerning the subject matter herein and supersede all prior and contemporaneous agreements, representations, warranties, and understandings between the parties, whether oral or written.
